- Invoices are payable within 30 days of the invoice date
- All fees are exclusive of applicable taxes, which will be added as required
- Late payment may result in suspension of services and interest charges
- Disputed invoices must be raised within 10 days of receipt

Confidentiality and Non-Disclosure

Limitation of Liability
To the maximum extent permitted by law, simplyways' total liability for any claims arising from or related to our services or these Terms shall not exceed the total amount paid by the client for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
In no event shall simplyways be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability and whether or not we have been advised of the possibility of such damages.
Our services are advisory in nature, and clients retain full responsibility for their business decisions and risk management implementations. We do not guarantee specific outcomes or results from our recommendations.
Professional Standards and Disclaimer
simplyways provides professional advisory services based on our expertise, industry standards, and best practices. However, our services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
While we strive to provide accurate and current information, we do not warrant that our advice will be error-free, complete, or suitable for every situation. Clients should exercise their own judgment and seek additional professional advice when making significant business decisions.
Termination of Services
Either party may terminate a service engagement in accordance with the terms specified in the relevant service agreement. In the absence of specific termination provisions:
- Either party may terminate with 30 days' written notice
- simplyways may terminate immediately for non-payment or breach of terms
- Upon termination, payment is due for all services performed up to the termination date
- Confidentiality obligations survive termination
- Each party shall return or destroy the other party's confidential information
simplyways reserves the right to suspend or terminate access to our website and services for violations of these Terms or for any other reason at our sole discretion.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labour disputes, or technical failures. In such events, the affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact.
Governing Law and Jurisdiction
These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
Any disputes, claims, or proceedings arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Tilburg, Netherlands. Both parties consent to the personal jurisdiction of such courts and waive any objection to venue or forum non conveniens.
Privacy and Data Protection
Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Entire Agreement
